1. Introduction

Welcome to Promptlyb. These Terms of Service ("Terms") govern your access to and use of the Promptlyb website, applications, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

Promptlyb is a prompt management platform that allows users to organize, version, and collaborate on AI prompts. Please read these Terms carefully before using our Service.

2. Definitions

  • "Account" means a unique account created for you to access our Service.
  • "Content" refers to prompts, text, data, and other materials that you submit, post, or display on the Service.
  • "Organization" means a workspace created within the Service for team collaboration.
  • "User" refers to any individual who accesses or uses the Service.
  • "Marketplace" refers to the public section of the Service where users can share and discover prompts.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent to use the Service.

4. User Responsibilities

When using the Service, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload or share malicious, harmful, or offensive content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to spam, harass, or deceive others
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the Service

  • Share prompts that generate illegal, harmful, or unethical AI outputs

5. Content and Intellectual Property

Your Content

You retain ownership of any Content you create and submit to the Service. By submitting Content, you grant Promptlyb a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your Content solely for the purpose of operating and improving the Service.

When you publish Content to the Marketplace, you grant other users the right to view, fork, and use your prompts in accordance with these Terms.

Promptlyb's Intellectual Property

The Service, including its original content, features, and functionality, is owned by Promptlyb and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

6. Subscription and Payments

Promptlyb offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page.

  • Free Plan: Includes unlimited prompts, 1 organization with up to 3 members, and basic features.
  • Team Plan: $10/month per organization, includes unlimited members, up to 5 organizations, version history, approval workflows, and priority support.

Subscriptions are billed on a recurring basis. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period. Refunds are generally not provided for partial billing periods.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may export your Content before termination. We are not obligated to retain your Content after account termination.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We are not responsible for the accuracy, reliability, or quality of any Content created or shared through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTLYB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or your personal information
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted through the Service
  • Any Content obtained from the Service

Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Promptlyb and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

For significant changes, we will provide additional notice, such as an email notification or a prominent notice within the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Promptlyb operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
